1. Introduction

These Purchase Terms (“Terms”) govern all purchases made from Aeris Collective and its brand sites (“Aeris”, “we”, “us”, “our”). By placing an order, you agree to these Terms, along with our Terms of Use, Privacy Policy, Shipping Policy, and Returns Policy.

These Terms include:

  • Universal rules that apply to all customers

  • Region-specific rules for the United States, the European Union, and Switzerland

    If a regional rule conflicts with the universal terms, the regional rule applies.

2. Universal (Applies to all Regions)

These Universal Terms of Sale apply globally to all orders, invoices, and transactions executed across all Aeris Collective Brand Sites, regardless of customer location, unless explicitly modified by mandatory regional provisions in Section 3.

2.1 Order Acceptance & Allocation Locking

  • Standard Retail Products (AVNT, Seren Athletics): Receipt of an automated order confirmation does not constitute final acceptance of an order. Aeris Collective reserves the right to accept or decline any order prior to dispatch for reasons including, but not limited to, inventory limits, authorization failures, or suspected fraud.

  • Atelier Serialized Hardware (AVNT Atelier): Atelier allocations are made available via private client invoices, deposits, or private studio reservations. Due to individual unit serialization, custom engraving, and dedicated production scheduling, an Atelier order becomes locked and legally binding immediately upon invoice payment or deposit fulfillment. Once an allocation is locked, the order cannot be canceled, modified, or transferred.

2.2 Pricing, Payment, & Taxes

  • All prices listed across Aeris Collective Brand Sites are in USD ($) unless explicitly converted at checkout.

  • Listed prices exclude sales tax, VAT, GST, import tariffs, customs duties, or specialized freight surcharges unless explicitly noted. All applicable local taxes and duties are the buyer’s responsibility.

  • Private client invoices for AVNT Atelier allocations must be settled in full via approved payment gateways within the window specified on the window. Unpaid allocation holds expire automatically after 48 hours.

2.3 Fulfillment, Lead Times & Delivery

  • Standard Retail Shipping: Standard fulfillment dates are estimates. Risk of loss and title for standard merchandise pass to the customer upon carrier delivery confirmation.

  • Atelier Freight & Delivery: Serialized Atelier hardware is subject to individual production lead times communicated during private invoicing. Atelier units are dispatched via secure express or white-glove freight and strictly require an adult signature upon delivery. Risk of loss transfers upon signed delivery receipt.

2.4 Returns, Exchanges, & Final Sale Policy

  • Standard Retail Return Policy: Non-customized standard retail merchandise in original, unused condition may be returned within 30 days of delivery under our standard Returns Procedure.

  • Atelier Final Sale Policy: All AVNT Atelier serialized hardware, custom-allocated units, and private studio orders are strictly Final Sale. Non-defective returns, exchanges, buyer’s remorse cancellations, or refunds are strictly prohibited.

2.5 Limited Warranty & Defect Claims

  • Final Sale status does not waive your protection against manufacturing defects. All serialized hardware is covered under the Aeris Collective Limited Structural Warranty.

  • If an Atelier unit or standard product arrives with a verified manufacturing defect or transit damage, the client must contact corporate@theaeriscollective.com within 48 hours of signed delivery with photographic/video documentation.

  • Verified defect remedies are handed strictly via component repair, part replacement, or full unit replacement at the sole discretion of Aeris Collective.

3. Region-Specific

3.1 United States

U.S. Contract Formation

  • U.S. contract law applies to all purchases delivered within the United States.

    U.S. Pricing & Taxes

  • Sales tax is applied based on your shipping address.

    U.S. Returns

  • 30-day voluntary return window.

  • No statutory right of return.

    U.S. Warranty

  • 90-day limited warranty against defects in materials or workmanship.

    U.S. Defect Resolution

  • No statutory requirement to accept returns of defective items.

  • Aeris must provide a remedy (refund, replacement, or repair).

    U.S. Governing Law

  • Governed by the laws of the state of Arizona.

3.2 European Union (Germany, the Netherlands, Sweden)

EU Consumer Contract Rules

European Union consumer protection directives apply to all sales delivered to EU member states, including the Consumer Rights Directive (2011/83/EU), the Sale of Goods Directive (EU 2019/771), and the Digital Content Directive (EU 2019/770).

Pricing & VAT

  • Prices do not include Value Added Tax (VAT) or import duties unless explicitly stated at checkout or on your private client invoice. Applicable taxes and duties are calculated based on the delivery destination.

Withdrawal Right (Right of Cancellation)

  • Standard Retail (AVNT, Seren Athletics): Consumers located in the EU are entitled to a standard 14-day statutory right of withdrawal. Aeris Collective voluntarily extends this to a 30-day enhanced withdrawal period from the date of delivery, provided items are returned unused, unworn, and in their original packaging.

• Atelier Serialized Hardware (AVNT Atelier): Pursuant to Article 16(c) of the EU Consumer Rights Directive, the statutory right of withdrawal DOES NOT apply to goods that are custom-made, personalized, or individually serialized. Because all AVNT Atelier hardware (including AVNT Trunk I [Atelier Spec]) is custom-assembled, limited-edition, or serialized upon order approval, all Atelier allocations are strictly final sale, non-refundable, and exempt from the right of withdrawal once invoiced and dispatched.

Legal Guarantee & Defect Remedies

  • 2-Year Statutory Guarantee: A 2-year statutory guarantee applies across all EU member states for non-conformity or manufacturing defects present at delivery.

  • Burden of Proof: Reversal of the burden of proof applies for 12 months (or 24 months where enacted by specific member state law).

  • Defect Remedies: In the event of a manufacturing defect, remedies will be provided in the following sequence:

    1. Repair or replacement of the item free of charge.

    2. A partial price reduction or full refund if repair or replacement is impossible, unsuccessful, or commercially unreasonable.

  • Sweden-Specific Note: Consumers in Sweden benefit from a 3-year defect claim window under the Swedish Consumer Sales Act (Konsumentköplagen).

Sweden provides a 3-year defect claim window under the Swedish Consumer Sales Act.

EU Governing Law

The mandatory consumer protection laws of the customer’s country of habitual residence/delivery apply.

3.3 Switzerland

Swiss Contract Rules

  • Transactions delivered to Switzerland are governed by the Swiss Code of Obligations (Code des obligations / Obligationenrecht).

Pricing & VAT

  • Prices do not include Swiss VAT or import processing fees unless explicitly stated otherwise.

No Statutory Right of Return

• Standard Retail Products: Under Swiss law, there is no statutory right of return for non-defective merchandise. Non-defective returns for standard retail products are granted voluntarily under our 30-day Returns Policy.

• Atelier Serialized Hardware: Non-defective returns, exchanges, or order cancellations are strictly prohibited for all AVNT Atelier bespoke allocations.

Legal Assurance & Defect Remedies

  • A 2-year statutory warranty (Garantie) applies for manufacturing defects under Article 210 of the Swiss Code of Obligations. Defective hardware will be replaced under our Client Care protocol.

Returned Goods Customs Requirement

  • For authorized returns or warranty repairs originating from Switzerland, customers must clearly mark all shipping documentation and customs declarations as “Returned Goods - Temporary Export for Repair/Return” to prevent erroneous import duties.

Governing Law

  • Swiss substantive law applies, subject to any mandatory statutory provisions.

4. Definitions

For the purposes of these Terms of Sale, the following definitions apply across all Aeris Collective brand sites:

  • “Aeris Collective Brand Sites” refers to all e-commerce platforms, subdomains, and digital portals owned and operated by Aeris Collective, LLC, including but not limited to theaeriscollective.com, avnttravel.com, atelier.avnttravel.com, serenathletics.com, and shopaurea.co.

• "Standard Retail Products" refers to non-customized, mass-production commercial merchandise available for direct public cart checkout across Aeris Collective brands (including standard AVNT travel gear, Seren Athletics apparel, and Aurea swimwear).

• "Atelier Serialized Hardware" refers to limited-edition, custom-engraved, individually serialized, or private-invoice products produced or distributed under the AVNT Atelier studio banner (including AVNT Trunk I [Atelier Spec]).

• "Final Sale" refers to transactions for goods that are non-cancellable, non-returnable, and non-refundable once payment is processed and allocation is confirmed, except in cases of verified manufacturing defects covered under statutory warranty.
